1. Agreement to terms

These Terms of Service are a legally binding agreement between your entity ("User", "you") and Cantarell OS ("Cantarell", "we"). By accessing cantarell-os.com, cantarell-os.tech or any associated dashboards, mobile applications, APIs and IoT integrations (the "Platform"), you confirm that you have read, understood and agree to these Terms.

2. Account registration and KYC/AML compliance

The Platform is intended exclusively for businesses in the fuel distribution, wholesale, trucking, terminal operation and import/export sectors.

Accuracy of information: you agree to provide true, accurate, current and complete registration data.
KYC/AML requirements: because hydrocarbons are high-value and highly regulated, you agree to submit the Know Your Customer and Anti-Money Laundering documentation required by the US Financial Crimes Enforcement Network (FinCEN) or Mexico's Secretaría de Hacienda y Crédito Público (SHCP).
License verification: we may suspend an account while we verify your CRE permits, SAT importer registry status, EPA ID or DOT number.

3. Platform services and disclaimers

Cantarell OS is a software-as-a-service platform for tracking, trading and logistics management.

Not a broker or agent: Cantarell OS is not a customs broker, freight forwarder, tax agent or legal representative. Digital pedimentos and tax calculations produced by the Platform are drafts and software estimates.
Your responsibility: you hold the legal responsibility to verify every declaration, tax filing and customs document before submitting it to agencies such as CBP, IRS, SAT or ASEA.
Market risk: wholesale trading features, including rack pricing and margin analytics, are subject to high volatility. We do not guarantee the execution price of any physical commodity until it is confirmed by a supplier integration.

4. Acceptable use and restrictions

You agree not to use the Platform for any purpose other than the one it is offered for. In particular, you must not:

Circumvent, disable or interfere with security features, including role-based access control and token logic.
Reverse engineer, decompile or disassemble any part of the Platform, including its route-optimization models.
Submit falsified telematics data, altered Hours of Service logs or counterfeit fuel volume indicators subject to DOT or SCT audits.
Execute trades that contravene US sanctions (OFAC) or Mexican embargoes.

5. Financial transactions and fees

If you use the Platform's payment features (SPEI through STP in Mexico; FedNow and ACH in the United States):

Transactions are subject to the platform fees and currency exchange spreads set out in your subscription agreement.
Settlement depends on the participating banking institutions. Cantarell OS is not liable for funds held by correspondent banks because of anti-money-laundering flags attributable to the User.

6. Intellectual property

The source code, algorithms, database schemas, the "Cantarell OS" brand and trade secrets are the exclusive property of Cantarell. We grant you a revocable, non-exclusive, non-transferable, limited license to use the Platform according to your subscription tier.

7. Limitation of liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA OR DEMURRAGE PENALTIES, ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Governing law and dispute resolution

United States operations: these Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Any arbitration shall take place in Houston, Texas.

Mexico operations: these Terms are governed by Mexican commercial law. Any dispute shall be resolved by binding arbitration in Mexico City under the rules of the Centro de Arbitraje de México (CAM).

9. Personal data

The processing of your personal data is governed by our Privacy Notice. You can exercise your data rights from Settings > Privacy & data in the Platform.

10. Changes

We may change these Terms. Every change will be published on this page with a new version number and its effective date; when you register, the Platform records the version you accepted.
